Terms of Service

1. Acceptance of Terms

By purchasing, downloading, forking, or otherwise using the Godspeeds SaaS starter kit ("the Product"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Product.

2. License Grant

Upon purchase, you are granted a non-exclusive, non-transferable, perpetual license to use the Product for unlimited personal and commercial projects. You may not resell, redistribute, or sublicense the Product's source code as a starter kit, template, or boilerplate.

3. Disclaimer of Warranties

The Product is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Godspeeds does not warrant that the Product will meet your requirements, operate without interruption, or be error-free. You acknowledge that the Product is a development starter kit and that you are solely responsible for testing, validating, and securing any application built with it.

4. Limitation of Liability

To the fullest extent permitted by applicable law, Godspeeds, its owners, contributors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business, or goodwill — arising out of or in connection with your use of the Product, regardless of the cause of action or theory of liability.

This limitation applies whether the damages arise from:

• Use or inability to use the Product
• Any modifications, forks, or derivative works you create from the Product
• Security vulnerabilities, data breaches, or unauthorized access in applications you build using the Product
• Third-party services integrated with the Product (including but not limited to Clerk, Convex, Stripe, and Vercel)
• Loss of data or service interruptions in your deployed applications
• Any legal claims, regulatory actions, or compliance failures related to applications you build

5. Assumption of Risk

Once you fork, clone, or download the Product, you assume full responsibility for its use. You are solely responsible for:

• Reviewing and understanding the code before deploying it to production
• Implementing appropriate security measures for your specific use case
• Ensuring compliance with all applicable laws, regulations, and industry standards (including GDPR, CCPA, PCI-DSS, etc.)
• Managing your own API keys, environment variables, and secrets
• Maintaining and updating dependencies in your forked version
• Any costs incurred from third-party services used in your deployed application

6. No Professional Advice

The Product does not constitute legal, financial, security, or professional advice. You should consult qualified professionals for matters related to data privacy, payment processing compliance, and application security before launching any production application.

7. Third-Party Services

The Product integrates with third-party services including Clerk, Convex, Stripe, and others. Godspeeds is not responsible for the availability, performance, security, or terms of these services. Your use of third-party services is governed by their respective terms and policies.

8. Refund Policy

Due to the digital nature of the Product and instant access to source code upon purchase, all sales are final. No refunds will be issued after the Product has been delivered.

9. Indemnification

You agree to indemnify and hold harmless Godspeeds and its owners, contributors, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of the Product or any application you build with it.

10. Modifications to Terms

Godspeeds reserves the right to modify these Terms of Service at any time. Continued use of the Product after changes constitutes acceptance of the updated terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the use of the Product shall be resolved through binding arbitration.
